1. Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of Teddy (“the Platform”), a web-based operations management application provided under license by 2020 Ventures, LLC (“Licensor,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. License Grant

Subject to these Terms, we grant the licensed organization (“Licensee”) a limited, non-exclusive, non-transferable, revocable license to use the Platform for the purpose of managing the Licensee's parent-teacher organization operations.

The Platform, including all software, design, content, and documentation, remains the intellectual property of 2020 Ventures, LLC. No ownership rights are transferred to the Licensee or any user.

3. User Accounts and Access

Administrators are responsible for managing user accounts within their organization. Administrators must safeguard their login credentials and are responsible for all activity that occurs under their accounts.

Board Members are granted view-only access by administrators. Board Members may view all financial data but cannot create, edit, or delete transactions.

Requesters access the Platform through temporary, email-verified access codes. Requesters may only view and manage their own submissions.

You agree to provide accurate and complete information when using the Platform and to notify your organization's administrator promptly of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Enter false, misleading, or fraudulent transaction data
• Attempt to gain unauthorized access to any portion of the Platform, other accounts, or connected systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform
• Copy, modify, distribute, sell, or lease any part of the Platform without prior written consent from 2020 Ventures, LLC
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Upload files containing malware, viruses, or other harmful content

5. Financial Data and Accuracy

The Platform is a record-keeping tool. All financial data entered into the Platform is provided by the Licensee and its authorized users. 2020 Ventures, LLC does not verify, audit, or guarantee the accuracy of any financial data entered into the Platform.

The Licensee is solely responsible for the accuracy of its financial records, compliance with applicable tax and reporting requirements, and any decisions made based on data in the Platform.

6. Uploaded Content

Users may upload receipt images, check images, and other documents to the Platform. You represent that you have the right to upload such content and that it does not violate any third party's rights.

Uploaded content is stored for the Licensee's use and is accessible only to authorized administrators. 2020 Ventures, LLC does not claim ownership of uploaded content but reserves the right to remove content that violates these Terms.

7. Treasurer's Report (Public View)

The Platform includes a publicly accessible summary view (“Treasurer's Report”) that displays aggregate financial data. This view is designed to provide transparency to organization members and does not display personally identifiable information, including individual names, contact details, check numbers, or uploaded images.

8. Availability and Modifications

We strive to keep the Platform available and operational but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any feature of the Platform at any time, with or without notice.

We reserve the right to update these Terms at any time. Material changes will be communicated by updating the effective date. Continued use after changes constitutes acceptance.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 2020 VENTURES, LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, 2020 VENTURES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE LICENSEE FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

The Licensee agrees to indemnify, defend, and hold harmless 2020 Ventures, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of the Licensee's use of the Platform, violation of these Terms, or infringement of any third party's rights.

12. Termination

We may suspend or terminate access to the Platform at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, the Licensee's right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including limitations of liability and indemnification) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wisconsin.
